Terms of Service (TOS)

These Terms of Service govern the legal relationship between Varayo and the customer for all services purchased. By using the services, you agree to these terms.

1. Agreement and Term

This agreement becomes effective upon the customer's acceptance of an order or the commencement of service delivery, whichever occurs first. The term of service is defined in the individual Service Order Form (SOF).

Governing Documents

The service relationship is governed by the following documents, in order of precedence:

  1. The signed Service Order Form (SOF)
  2. This Terms of Service (TOS) document
  3. The Acceptable Use Policy (AUP)
  4. The Service Level Agreement (SLA)
Note: If you have a signed agreement that conflicts with this document, the signed agreement controls.
2. Billing, Payment, and Taxes +

All services are billed in advance on a monthly recurring basis. Invoices are due upon receipt.

  • Late Payment: Payments not received within 30 days of the invoice date may be subject to a late fee and potential service suspension.
  • Taxes: Customer is responsible for all applicable local, state, federal, and international taxes, fees, and surcharges.
3. Termination and Suspension +

Varayo may suspend or terminate service without notice for:

  • Breach of the Acceptable Use Policy (AUP).
  • Failure to pay outstanding charges within the defined grace period.
  • Any illegal or harmful use of the service.

The customer may terminate service in accordance with the terms defined in the Service Order Form (SOF).

4. Warranties and Limitation of Liability +

VARAYO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Services are provided "as-is."

Varayo's total liability for any claim arising out of this agreement shall not exceed the total amount paid by the customer for the service during the twelve (12) months preceding the event giving rise to the claim.

Service Credits: If your service includes an SLA, remedies may be limited to service credits rather than refunds.
